SUESHIELD – TERMS OF SERVICE

Legally Binding Agreement

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “Client,” “You”) and SueShield (“SueShield,” “We,” “Our,” “Us”).


By purchasing, accessing, or using any SueShield service—including audits, remediation, certificates, badges, verification pages, or related offerings—you agree to these Terms.

 

If you do not agree, you must not use our services.

 

1. GOVERNING LAW

These Terms are governed exclusively by the laws of the State of New York, without regard to conflict-of-law rules.

2. SERVICES WE PROVIDE

SueShield provides digital accessibility services, including:
● Accessibility scanning and audits
● Manual WCAG 2.2 AA remediation
● Issue-correction based on audit results
● Generation of Accessibility Certificates
● Badge / seal licensing for verified clients
● Public certificate verification pages
● Optional, separately purchased monitoring services

SueShield does NOT guarantee:
● Future accessibility compliance
● Immunity from lawsuits
● That all issues will be detected or prevented
● That third-party tools, plugins, themes, or future website changes will remain compliant

SueShield is not a law firm and does not provide legal advice.

3. ACCESSIBILITY CERTIFICATES

After remediation, SueShield may issue a digital accessibility certificate containing:
● Certificate ID
● Business name
● Website URL
● Compliance level completed
● Issue date
● Direct verification link

Certificate Meaning:
The certificate represents accessibility remediation as of the issue date only.
It does not certify ongoing or future compliance.

Certificates:
● May not be altered
● Are licensed for customer use
● May be revoked if misused
● Must be removed if SueShield requests removal

4. BADGE & SEAL USAGE

Clients may display the SueShield badge/seal on their website subject to these rules:
● Badge represents compliance only on the issue date
● Badge may be used indefinitely unless revoked
● Badge cannot suggest legal immunity
● Badge must link to SueShield’s verification page or the client’s certificate page
● Badge must be removed if SueShield determines the site is no longer compliant or is misused

5. VERIFICATION PAGES

SueShield provides:

  1. A public verification lookup page where visitors can submit a Certificate ID.

  2. A direct URL for each certificate (e.g., https://SueShield.com/verify/SS-2025-1234).

SueShield controls the availability, layout, and content of verification pages.

6. CUSTOMER RESPONSIBILITIES

Customer agrees to:
● Provide accurate business information
● Maintain accessibility after remediation
● Ensure no future updates break compliance
● Refrain from altering the certificate or badge
● Remove the badge/certificate if ordered by SueShield
● Follow all license terms for SueShield IP

Customer acknowledges that:
● Adding new content, plugins, themes, marketing tools, or code may break compliance
● SueShield is not responsible for regressions occurring after the issue date

7. DISCLAIMERS

SueShield services are provided “as-is” and “as-available.”
SueShield expressly disclaims all warranties, including:
● Legal warranties
● Fitness for a particular purpose
● Warranty of future compliance
● Warranty of accuracy or completeness

SueShield is not responsible for:
● ADA lawsuits
● Demand letters
● Regulatory complaints
● Misuse of certificates or badges
● Third-party code, hosting, plugins, or updates
● Automated scanning errors
● Any legal consequences the customer faces

8. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

  1. SueShield’s maximum liability is limited to the total amount paid for the purchased service.

  2. SueShield is not liable for any:
    ○ ADA or civil rights claims
    ○ Legal fees or settlements
    ○ Loss of revenue or business interruption
    ○ Damages from code changes made by the customer or third parties
    ○ Indirect, incidental, special, punitive, or consequential damages

9. INDEMNIFICATION

Customer agrees to indemnify, defend, and hold harmless SueShield from any claims, losses, damages, costs, or legal fees arising out of:
● Misuse or misrepresentation of the badge or certificate
● Accessibility regressions after remediation
● Incorrect information provided by the customer
● Legal claims resulting from the customer’s site, content, business practices, or updates
● Any claim alleging ongoing compliance
● Customer’s breach of these Terms

10. PAYMENT & REFUND POLICY

● All sales are final.
● No refunds for digital services, audits, remediation, certificates, badges, or any completed work.
● Chargebacks are prohibited.
● Prices may change at any time.

11. THIRD-PARTY TOOLS

SueShield may use third-party scanning tools or APIs.
We are not responsible for:
● Their outages
● Their inaccuracies
● Their data handling
● Their changes, errors, or failures

Customer agrees that third-party terms may apply.

12. INTELLECTUAL PROPERTY

All certificates, seals, badges, designs, templates, audit reports, and remediation methods are the intellectual property of SueShield.

Customer receives a limited, non-transferable, revocable license to use:
● Certificate issued to them
● Badge issued to them
● Verification link assigned to them

Customer may not:
● Alter, resell, or replicate SueShield’s IP
● Use branding without permission
● Remove or modify copyright notices

13. TERMINATION

SueShield may revoke a certificate or badge, or terminate the license, if:
● Customer misuses SueShield branding
● Customer materially misrepresents compliance
● Customer violates these Terms
● Customer engages in fraud or harmful behavior

Upon termination, customer must:
● Remove the badge
● Remove the certificate
● Remove links to verification

14. BINDING ARBITRATION (MANDATORY)

By using SueShield services, customer agrees:
● All disputes must be resolved exclusively through binding arbitration
● No class actions
● No jury trial
● Arbitration location: New York, NY
● Arbitration rules: AAA Commercial Arbitration Rules

Customer waives the right to participate in class or representative actions.

15. CHANGES TO TERMS

SueShield may update these Terms at any time. Continued use of services constitutes acceptance.
